Temporary License Agreement

This agreement will only apply to selected artists who participate in the Pick and Pre-order (PNP) event.

Please note that by submitting your artwork image (“Work”) via this website, located at https://soonness.com/, you provide the website owner (“Commissioner”) with a limited, unrestricted, irrevocable, and worldwide, license to display, utilize, market, sell, and advertise your Work on platforms of Soonness, and to utilize the Work as a design to be displayed on physical product images sold on this website by the Commissioner.

The duration of this license will be up until the conclusion of a Pick and Pre-Order event (“PNP event”) during which time your Work will be used on physical product images advertised for sale on the website by the Commissioner(“license period”). The PNP event date will be notified to the selected artists.

In exchange for the license provided, the Commissioner may, at their sole discretion, 1) offer you a fee (“flat-fee”) plus royalty agreement (“full license agreement”), OR 2) provide you with a royalty of 10% of any net profit earned from the sale of any products which use your design during the license period, in case you fail to agree to the terms of the full license agreement, or if the Commissioner, in their sole and absolute discretion, decides not to offer the full license agreement to you. If you fail to agree to the terms of the full license agreement or execute the terms or obligations described therein, or if the Commissioner does not offer you a full license agreement, you will not have any right to a flat-fee payment.

The Commissioner may decide not to utilize the Work, or sell any products which use the Work as a design, at their sole discretion. In such a case, you will not be entitled to any royalties.

The Commissioner will notify you of your entitlements in case any products are sold while using the Work as a design, pursuant to the full license agreement terms (if applicable) or after the license period (if applicable).

Any derivative products or intellectual property created by use of the Work shall vest with and remain under the exclusive ownership of the Commissioner alone at all times during the license period and after the termination of the license.

This Agreement states the entire agreement between yourself and the Commissioner as of this current date, and the rights described herein state the exclusive and only rights you are entitled to as a result of the provision of the license described hereunder to the Commissioner.

The Artist is age 18 and above in order to submit artwork.
